Poland offers various types of companies, with the most common being:

  • Limited Liability Company (Sp. z o.o.): Popular for small and medium-sized businesses due to limited liability for shareholders.
  • Joint-Stock Company (S.A.): Suitable for large businesses, with the ability to issue shares.
  • Sole Proprietorship (Jednoosobowa Działalność Gospodarcza): Ideal for individual entrepreneurs, but there’s no limited liability.

The key documents you will need are:

  • Company name and legal form (e.g., Sp. z o.o.)
  • Articles of Association or Company’s Statute (for a limited liability company)
  • Proof of address of your company’s registered office.
  • Personal details of shareholders, directors, and the company’s legal representative (passport or ID card).
  • Bank account information (you need to open a corporate bank account for the company).

You can register your company in Poland via the Central Registration and Information on Business (CEIDG) for sole proprietorships or National Court Register (KRS) for limited liability companies and joint-stock companies. The steps are as follows:

  • Register the company name and check for availability.
  • Register with the KRS (for limited liability and joint-stock companies) or CEIDG for sole proprietorships.
  • Obtain a REGON number (Statistical number).
  • Obtain a NIP (Tax Identification Number) from the tax office.

Once the company is registered, open a business bank account in Poland. This account is used for managing business finances.

  • VAT Registration: If your business is VAT taxable, register for VAT at the Tax Office (US).
  • Social Security (ZUS): Register with ZUS for social security contributions for employees (if applicable).
  • You can start business activities once all registrations are complete and your company is fully legal. Keep in mind regular tax filings, VAT returns, and employee documentation (if you have any).
